This License Agreement outlines the terms and conditions under which vendors and users are granted limited rights to access, use, and operate within the uShoptopia platform.
By registering, accessing, or using the uShoptopia platform, you agree to be bound by this License Agreement, along with our Terms and Conditions, Privacy Policy, and any other applicable policies.
This License is non-exclusive, non-transferable, and revocable under the terms set forth below.
uShoptopia grants vendors and users a limited license to access and use the platform’s services for lawful purposes only, subject to compliance with all applicable rules and regulations.
This license allows you to:
- Create and manage a vendor store.
- List, promote, and sell approved products or services.
- Use platform tools, resources, and integrations for business activities.
You may not:
- Copy, modify, reproduce, or distribute any part of uShoptopia’s software, content, or services without prior written consent.
- Reverse engineer, attempt to extract source code, or create derivative works based on the uShoptopia platform.
- Use uShoptopia’s name, logos, trademarks, or other intellectual property without authorization.
uShoptopia retains all rights, title, and interest in and to the platform, its technology, and associated intellectual property.
As part of using uShoptopia, vendors and users may be required to submit certain personal and business information.
By doing so, you grant uShoptopia a limited license to use this information solely for the purposes of:
- Managing your account and platform participation.
- Facilitating transactions, payments, and communication.
- Improving and promoting services, while adhering to data protection regulations.
Personal information will be processed in accordance with our Privacy Policy. Vendors must also ensure that customer information collected through their storefronts is handled securely, confidentially, and in compliance with all applicable privacy laws.
uShoptopia provides the platform “as is” without warranties of any kind, either express or implied.
We do not guarantee that the platform will be error-free, uninterrupted, or immune to unauthorized access.
Users and vendors are responsible for their own content, business practices, and compliance with applicable laws.
uShoptopia is not liable for:
- Business losses, sales disruptions, or profit losses.
- Vendor misrepresentations, customer disputes, or third-party conduct.
- Any indirect, incidental, or consequential damages arising from platform usage.
By using uShoptopia, you agree to indemnify, defend, and hold harmless uShoptopia, its affiliates, officers, directors, employees, and agents from any and all claims, demands, losses, liabilities, and expenses arising out of:
- Your breach of this License Agreement or any applicable laws.
- Your misuse of the platform or its services.
- Your violation of the rights of any third party, including intellectual property, privacy, or contractual rights.
This indemnification obligation survives termination of your relationship with uShoptopia and your use of the platform.
